The articles of association are not merely a formation form. They define the company’s identity, ownership, management authority and decision-making rules, and can materially affect banking, contracts, investment and disputes.
Essential clauses
- Name, registered office, objects and duration.
- Capital, interests and ownership percentages.
- Manager appointment, powers and reserved matters.
- Partner meetings, quorum and voting thresholds.
- Profit and loss allocation.
- Interest transfers, restrictions and pre-emption rights.
- Financial year, records and auditor provisions.
- Dissolution, liquidation and dispute mechanisms.
Management powers
Generic authority language can either block normal operations or expose the company to excessive risk. Address borrowing, guarantees, asset disposals, litigation, employment, sub-delegation and transactions requiring partner approval.
Articles and shareholders’ agreements
A separate shareholders’ agreement may cover funding, deadlock, valuation, confidentiality, non-compete terms and exit rights. It should be coordinated with mandatory law and the registered articles.
When amendments are needed
Ownership, capital, management, activity, name, registered office and decision rules may require a formal amendment and registration. Read our guide to amending Saudi company articles.
Drafting mistakes
- Copying powers that do not fit the activity.
- No mechanism for voting deadlock.
- No plan for death, default or exit.
- Conflict with a side agreement.
- Ignoring regulated-activity approvals.
