A partner cannot be removed through a casual management decision. The available route depends on the company form, constitutional documents, shareholders’ agreement, the grounds relied upon, and the applicable provisions of Saudi Companies Law.
Possible routes
- A negotiated sale or buyout.
- A valid contractual exit mechanism.
- A court application where the law permits removal for legitimate grounds.
- Restructuring or dissolution where continuation is impossible.
Valuation and registration
The exit must address fair value, partner accounts, historic profits, guarantees, liabilities, confidentiality, and claims. The change should then be recorded in company documents, registers, beneficial ownership data, bank authorities, and licences.
Protecting the company
Preserve records, document decisions, manage conflicts of interest, and maintain payroll, contracts, and compliance while the dispute is resolved.
